Rosa H Posada is a Partner in Bryan, Gonzalez Vargas & Gonzalez Baz, managing the offices in Monterrey, Nuevo León, Reynosa and Matamoros, Tamaulipas.

Ms. Posada has more than 32 years of experience, and has for the last 20 years coordinated, planned, negotiated, structured and implemented all our foreign and domestic clients’ investment of the northern region in all legal matters, including: real estate, tax, labor and employment, divestitures, corporate and business restructures, mergers and acquisitions business development, compliance and regulatory matters. She is a frequent speaker on matters of Mexican Law and as visiting professor and professor on several colleges and different areas of Mexican Law.

Ms. Posada has vast experience on IMMEX matters this has been the focus practice for most of her career, setting up, relocating and winding down IMMEX companies, coordinating all legal aspects of this endeavor, in all kind of industries, including sensitive goods and negotiating and coordinating permits for new industries that were not allowed at that time. Her practice on this area was enriched during her stay in Chicago, IL., were she visited with advice Midwest companies on the relocation or setting up new manufacturing business in Mexico.

During her experience in Mexico City, Ms. Posada was heavily involved in transactional matters, coordinating legal due diligence processes and opinions, large transactions involving 5 or more subsidiaries in different locations in Mexico; heading also the practice on regulatory matters lobbying with different branches of the Federal Level governmental agencies on behalf of our client’s nationwide.

She has advised clients and coordinated the Mexican legal affairs to top 5000 manufacturing companies, effectively reducing cost and optimizing the decision making process by standardizing the practice nationwide.

As women in the Matamoros/ Reynosa area she was the first woman heading a corporate law office in such areas. Shortly after taking office in Matamoros (2000), the law firm becomes a legal services leader; in 2003 she coordinated the efforts to further grow the practice and open the Reynosa office, to expand her practice in Monterrey in 2005. Her professional ethic, the knowledge on the local landscape and her ability to effectively communicate with clients has provided them the confidence they need on the business decision making process.

+ Representative Transactions

  • Represented Fortune 500 companies private and publicly traded companies in establishing and developing business operations in Mexico, including IMMEX operations.
  • Acted as legal counsel for international (USA, European and Asian) companies investing in Mexico: joint ventures, divestitures, merges and acquisitions, starting up areas of transportation, automotive, food, electronic, aerospace, textiles, steel, technology, services and alike.
  • Coordinate and advice clients on complex employment matters involving high level executives, nationals and foreigners.
  • Negotiations in complex labor issues, including labor stoppages and strikes, in Mexico City and Matamoros.
  • Legal counsel for international companies with operations in Mexico, industrial and commercial, advising and coordinating all legal aspects of their business in Mexico.
  • Legal counsel for foreign governments, part of team that advised Canada in the NAFTA negotiations.
  • Legal consul for the USA government, on the land acquisition and setup of the Trust for the Matamoros Consulate.

  • Lead one of the world’s largest automation companies in the establishment of its manufacturing operations in Monterrey.
  • Coordinates, plans, negotiates, structures and implements all the foreign clients’ investments that include industries, banks, investment funds retirement funds, trust funds, etc.as well as all M&A’s and divestitures of companies for our foreign clients and all the real estate, tax, labor, employment, environmental, regulatory, white collar crime, discrimination, and harassment in the Northeastern part of Mexico.
  • Represents foreign purchasers, regarding land purchases or joint developments of Mexican real estate, structure and documentation, leases, usufructs, and disputes with local and state authorities.
  • Representation of private individuals and companies in litigation cases, including contract disputes, real estate, family law and commercial matters.
  • Representation of publicly traded corporations in real estate transactions worth over $30 Million Dollars. Performed due diligence, negotiate with landowners and prepare options to purchase real estate.
  • Lead several divestitures on the oil industry involving domestic companies, settling complex labor issues for the proposed transactions.
